1. Introduction

Welcome to Popping Design ("we," "us," or "our"). By accessing our website at www.poppingdesign.com (the "Site") and inquiring about our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site.

2. Services & Inquiry Process

Unlike standard e-commerce platforms, our Site operates on an Inquiry Basis.

• No Immediate Purchase: The listing of Service Plans on our Site constitutes an invitation to treat, not a binding offer to sell. Submitting an inquiry form does not create a binding contract.
• Booking a Slot: A project is only confirmed and scheduled once we have reviewed your inquiry, sent you a formal Proposal/Invoice, and received your non-refundable deposit.
• Scope of Work: The specific deliverables (e.g., number of pages, 3D assets) are defined by the specific Plan you inquire about, unless otherwise modified in our final written Proposal to you.

3. Payment Terms

• Deposit: We require a 50% non-refundable deposit to secure your booking. Work will not commence until this deposit is confirmed in our bank account.
• Method: We currently accept payments via Bank Transfer and UPI. We do not process payments directly through the website.
• Final Balance: The remaining 50% balance is due upon completion of the project, prior to the final handover of source files or website launch.
• Late Payment: Failure to pay the final balance within [7] days of project completion may result in a delay in file delivery.

4. Cancellation & Refunds

We operate on a "fair use" cancellation policy:

• Client Cancellation: You may cancel the project at any time via written notice (email).
• No Penalty Fee: We do not charge a cancellation penalty. However, you are liable for the cost of all work completed up to the cancellation date.
• If the value of work completed is less than your deposit, we retain the full deposit to cover booking costs.
• If the value of work completed exceeds your deposit, we will invoice you for the difference.
• Agency Cancellation: If we (Popping Design) must cancel the project due to unforeseen circumstances, we will provide a full refund of your deposit, less any direct expenses already incurred (e.g., purchased fonts/assets).

5. Intellectual Property & Portfolio Rights

• Client Ownership: Upon full payment of all invoices, you (the Client) obtain full ownership of the final visual designs and exported assets.
• Agency Portfolio: We love to show off what we build. However, we respect your privacy. We will explicitly ask for your written permission (via email or chat) before displaying your project in our portfolio, social media, or case studies. If you decline, we will keep the work private.
• Agency Tools: We retain ownership of our underlying code libraries, design frameworks, and pre-existing templates used to generate your designs.

6. Project Dormancy ("Ghosting")

To ensure our schedule remains efficient:

• If you stop communicating or fail to provide necessary feedback for 30 consecutive days, we consider the project Cancelled.
• To restart a "ghosted" project, a re-instatement fee may apply, and scheduling will depend on our current availability.

7. User Conduct

By using this Site, you agree not to:

• Submit false or misleading inquiries.
• Use our Site to transmit viruses or harmful code.
• Attempt to reverse-engineer any part of our Site.

8. Limitation of Liability

Popping Design provides this Site and our services "as is." To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages (including loss of profits or revenue) arising from your use of our services or website. Our total liability shall never exceed the total amount of fees paid by you to us.

9. Governing Law

These Terms are governed by the laws of India (specifically the laws applicable in Chhattisgarh). Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bhilai, Chhattisgarh.
